DSNG APPROVED TO DISTRIBUTE DIVIDEND OF Rp 22 PER SHARE

Jakarta, 5 June 2024 – PT Dharma Satya Nusantara Tbk (“DSNG”, “the Company”) held the Annual General Meeting of Shareholders (AGMS) for the fiscal year 2023 at Harris Hotel & Conventions Kelapa Gading, Jakarta. One of the decisions passed at the AGMS was the approval to distribute a cash dividend of Rp 233,2 billion or Rp 22 per share. The total cash dividend distributed represents 28 percent of the Company’s net profit.

The AGMS was attended by all members of the Board of Directors and Board of Commissioners of the Company through an offline meeting. The number of shareholders presented at the AGMS amounted to 9,888,383,654 shareholders or represented approximately 93.288 percent.

Andrianto Oetomo, President Director of PT Dharma Satya Nusantara Tbk, explained that the Company would distribute the dividend to shareholders following applicable regulations no later than 30 days after the Company announced the AGMS Summary to the public. The Company did not allocate any mandatory reserve funds as the current reserve funds had met the minimum required amount stipulated by prevailing regulations.

According to Andrianto, the Company has consistently distributed cash dividends to shareholders since it went public in 2013. Despite facing challenges in 2023, such as the rising production costs of palm products driven by the higher fertilizer price following the geopolitical tension stemming from the Russia-Ukraine war, as well as the weakening global economy and prolonged high USD interest rates, which adversely impact the global property and wood product industries, the Company still managed to generate positive performance.

“We keep striving to maintain EBITDA and profit levels, although lower than 2022. As a public company, we are committed to delivering added value to our shareholders through profit generation despite the slowing global economy and geopolitical factors driving up fertilizer prices,” explained Andrianto.

Throughout 2023, the Company recorded sales of Rp 9.4 trillion with an EBITDA of Rp 2.4 trillion and a net profit of Rp 842 billion. The palm oil business segment continued to contribute 88% of the Company’s revenue, followed by the wood products and renewable energy segments at 11.3% and 0.7%, respectively.

In addition to distributing dividends, the AGMS approved the appointment of Public Accountant Budi Susanto, SE, M.B.A, CPA, from Public Accountant Office Siddharta Widjaja & Partners to audit the Financial Statements for the fiscal year 2024.
