Annual General Meeting of Shareholders (AGM) has approved the dividend distribution of Rp 30 per share

Jakarta, 8 June 2023 – PT Dharma Satya Nusantara Tbk (“DSNG” or “the Company”) held its Annual General Meeting of Shareholders (AGM) located at the Company’s Headquarters, Sapta Mulia Center, Jl. Rawa Gelam V Kav. OR/3B Kawasan Industri Pulogadung, East Jakarta.

The AGM was attended by the entire Board of Directors and Board of Commissioners, both offline and online. The attendance at the AGM accounted for 88% of the total shares.

One of the decisions made at the AGM was the approval by the shareholders to distribute a cash dividend of Rp 318 billion, equivalent to Rp 30 per share. The distributed cash dividend represents 26.3% of the total profit attributable to the parent entity in 2022.

The dividend will be distributed to the shareholders in accordance with the applicable laws and regulations. The Company has not set aside mandatory reserves as the mandatory reserve amount has already reached the minimum required by the applicable provisions.

The remaining net profit will be retained by the Company and used to strengthen working capital and investments.

In addition to the dividend, the shareholders also approved changes in the composition of the Board of Directors, with the appointment of two new Directors, Mr. Arianto Oetomo and Mr. Muhammad Hamdani, effective from the closing date of the AGM until the end of the current term of the members of the Board of Directors.

The AGM also approved the appointment of Public Accountant Budi Susanto, S.E., M.B.A., CPA, from Siddharta Widjaja & Rekan Public Accountants as the auditor to conduct an audit of the Company’s financial statements for the fiscal year ending on December 31, 2023.
During the AGM, the President Director of the Company, Andrianto Oetomo, explained that the Company achieved a highly positive performance, marking its best achievement since its establishment, driven by the increase in global CPO prices.

The Company recorded sales of Rp 9.63 trillion in 2022, a 35% increase from Rp 7.12 trillion. Additionally, net profit also increased by 63% to Rp 1.21 trillion from Rp 739.6 billion. Meanwhile, the wood segment, especially in panel products, experienced a 6% increase in sales volume and a 21% increase in average selling prices.

“We are optimistic that DSNG’s performance will continue to grow until the end of the year. We anticipate a 10% increase in CPO production compared to 2022, driven by the expansion of productive plantations,” added Andrianto Oetomo.
