PT Dharma Satya Nusantara Tbk (DSNG) Plans To Issue Up To 168 Million New Shares Through Capital Increase Without Pre-Emptive Rights

JAKARTA, 9 FEBRUARY 2015 – PT Dharma Satya Nusantara Tbk (DSNG) plans to issue as much as 168 million new shares, or approximately 7.93% of the Company’s  paid up capital, through a Capital Increase Without Pre-emptive Rights.

The Company today (February 9, 2015) has submitted a Disclosure  of Information in order to comply with the Financial Service Authority (Otoritas Jasa Keuangan) Regulation No. 38 / POJK.04 / 2014 of the Public Company Capital Increase Without Pre-emptive  Rights. Such disclosure is published in Bisnis Indonesia Daily in Bahasa.

The Company will hold an Extraordinary General Meeting (EGM)  on 18 March 2015 to seek approval from shareholders. The issue price of the new shares will be set at a minimum of Rp 4,055 per share.

Deputy President Director of PT Dharma Satya Nusantara Tbk, Andrianto Oetomo, said that the Company does not have a standby buyer for the new shares. The Company has two years from the time of shareholders’ approval to execute the aforementioned rights.

In accordance with the disclosure of information, the funds received by the Company from the capital increase will be used to finance the Company’s business expansion and to pay for the Company’s obligations.
