The Fulfillment of Creditor Rights

In order to implement the good corporate governance, PT Dharma Satya Nusantara Tbk (“the Company”) has the Fulfillment Policy of Creditor Rights with the objective to maintain a creditor’s trust so as the Company can continue to grow and develop in line with its vision and mission.

The Fulfillment Policy of Creditor Rights fulfills the following basic principles:

  1. Consider and calculate the financial leverage of the Company before making a loan to creditor to maintain the fulfillment of Creditor rights and confidence
  2. Receive a loan with a valid agreement by considering the principle of fairness.
  3. Ensure the principal and interest are paid in a timely manner according to the agreement.
  4. The Company ensures to submit financial statement to creditors in a timely, transparent, accurate and a trustworthy manner.
  5. Maintain the financial ratios to comply with the ratios set by creditors.
  6. Use the loan in accordance with the credit allotment.
  7. Ensure that agreements with creditors are fairly, transparently and meet specified requirements.
  8. Provide information transparently and openly about the use of funds.
  9. Notify to the Creditor regarding the Schedule and Results of the General Meeting of Shareholders (“GMS”), including changes in the Company’s Articles of Association, Changes in the Composition of the Company’s Management, Changes in Major and Controlling Shareholders, Dividend Distribution, and / or other corporate actions that require GMS approval.
  10. Without permission from creditors, the Company is prohibited to become a guarantor or to guarantee the Company’s assets to other parties.
